PART A – GENERAL
1.1 These Terms and Conditions ("Terms") govern your use of opulenceflow.com and any related landing pages (the "Website"), and the services provided by OPULENCE FLOW (PTY) LTD, registration number 2026/823815/07, trading as Opulence Flow ("Opulence Flow", "we", "us", "our").
1.2 Registered address: 22 Koelenhof Street, Van Riebekshof, Cape Town, Western Cape, 7530, South Africa. Email: jose@opulenceflow.com. Phone: +27 67 077 6392.
1.3 By using the Website you agree to Part A of these Terms. By engaging our services you also agree to Part B. If a signed proposal, order form or service agreement between you and us conflicts with these Terms, the signed document prevails.
1.4 Opulence Flow is not registered for VAT. No VAT is charged on our fees.
2.1 You may use the Website for lawful purposes only. You may not interfere with its operation, attempt to gain unauthorised access to it, or copy, reproduce or exploit its content for commercial purposes without our written permission.
2.2 All content on the Website, including text, graphics, logos, videos, frameworks and processes, is owned by or licensed to Opulence Flow and is protected by intellectual property laws.
2.3 The Website may contain links to third-party websites. We do not control and are not responsible for those websites.
3.1 Any results, figures, case studies or examples on the Website are illustrative and are not typical or guaranteed. Results depend on many factors outside our control, including the practice's offer, pricing, location, reputation, staff follow-up, patient show-up rates and market conditions.
3.2 We do not guarantee any specific revenue, profit, patient numbers, treatment conversions or return on ad spend. Our performance pricing (clause 7) means that you only pay per-consultation fees for Booked Consultations we actually deliver.
Our collection and use of personal information is governed by our Privacy Policy (opulenceflow.com/privacy-policy) and POPIA Notice (opulenceflow.com/popia).
PART B – SERVICES TO DENTAL PRACTICES
5.1 We plan, build and manage paid advertising campaigns for dental practices offering braces and clear aligners, capture and follow up on enquiries, and book consultations for prospective patients directly into the practice's calendar (the "Services"). The specific scope, fees and target areas are set out in your proposal or order form.
5.2 We provide marketing and appointment-setting services only. We are not a healthcare provider and do not give clinical, medical or dental advice. All clinical assessment, treatment, pricing and patient care are the sole responsibility of the practice.
6.1 A "Booked Consultation" is an appointment that our team schedules in the practice's calendar for a prospective patient who:
(a) has provided their name and a working contact number;
(b) has expressed interest in braces or aligner treatment; and
(c) has confirmed a specific date and time for the consultation.
6.2 A booking does not count as a Booked Consultation, and will not be charged, if the practice notifies us in writing within 7 days of the booking that it is:
(a) a duplicate of a person already booked by us in the previous 60 days;
(b) an existing patient of the practice who has attended the practice in the previous 12 months; or
(c) a booking with false or unreachable contact details.
6.3 Bookings not disputed within that 7-day period are deemed accepted.
6.4 A Booked Consultation is chargeable once booked, whether or not the patient attends, unless excluded under clause 6.2. We will send booking confirmations and reminders to help maximise attendance; attendance and conversion to treatment remain outside our control.
7.1 Our fees consist of:
(a) a once-off Setup Fee; and
(b) a fee per Booked Consultation,
in the amounts set out in your proposal or order form.
7.2 The Setup Fee is invoiced on the date the first Booked Consultation is delivered.
7.3 Per-consultation fees are invoiced monthly in arrears in South African Rand (ZAR), based on the Booked Consultations delivered in the previous month.
7.4 Invoices are payable within 5 days of the invoice date, via Whop or another payment method we specify.
7.5 If payment is overdue, we may pause the Services until payment is received, and charge interest on the overdue amount at the prime lending rate plus 2% per year, calculated from the due date until the date of payment.
7.6 All fees for delivered Booked Consultations, and the Setup Fee once invoiced, are non-refundable, except as required by law.
8.1 All advertising runs on the practice's own Meta ad account, paid with the practice's own payment method. Ad spend is paid directly by the practice to Meta and is separate from, and in addition to, our fees.
8.2 We will agree a monthly ad budget with the practice and will not exceed it without the practice's approval. Meta controls the actual billing and delivery of ads, and we are not responsible for charges, account restrictions, ad rejections or outages caused by Meta.
8.3 The practice grants us the access we reasonably need to its Meta Business account, ad account, Facebook Page, Instagram account, pixel and calendar for the duration of the Services. The practice may remove our access at any time, and must do so (or we will remove ourselves) when the Services end.
8.4 The practice retains ownership of its ad account, Page, pixel data and patient data.
9.1 The practice must:
(a) provide accurate information about its services, pricing, availability and location;
(b) keep its calendar availability up to date;
(c) contact and attend to booked patients promptly and professionally; and
(d) review and approve all advertising content before it is published.
9.2 The practice remains responsible for ensuring that all advertising for its services complies with the Health Professions Council of South Africa (HPCSA) ethical rules on advertising and with any other law applicable to health practitioners. We will follow the practice's reasonable instructions to keep campaigns compliant.
10.1 For personal information of prospective patients ("Patient Data"), the practice is the responsible party and Opulence Flow is the operator, as defined in POPIA.
10.2 We will:
(a) process Patient Data only for the purpose of providing the Services and on the practice's documented instructions;
(b) treat Patient Data as confidential and not use it for our own marketing or sell it;
(c) maintain appropriate, reasonable technical and organisational security measures as required by section 19 of POPIA;
(d) notify the practice immediately if we have reasonable grounds to believe that Patient Data has been accessed or acquired by an unauthorised person;
(e) ensure that our service providers who process Patient Data are bound by appropriate confidentiality and security obligations; and
(f) on termination, return or securely delete Patient Data within 90 days, unless the law requires us to retain it.
10.3 The practice consents to Patient Data being processed by our service providers listed in our Privacy Policy, including providers outside South Africa, in accordance with section 72 of POPIA.
Each party will keep the other's confidential information (including business, pricing and patient information) confidential and will use it only for the purposes of the Services. This clause survives termination.
12.1 Ad creative and copy produced specifically for the practice and paid for in full may be used by the practice for its own marketing, including after termination.
12.2 Our systems, templates, scripts, processes, automations, know-how and frameworks remain our property. Nothing in these Terms transfers ownership of them to the practice.
13.1 Unless your proposal or order form states otherwise, the Services run on a month-to-month basis from the date you accept our proposal.
13.2 Either party may cancel the Services by giving 30 days' written notice (email is sufficient).
13.3 Fees for all Booked Consultations delivered up to the end of the notice period remain payable.
13.4 Either party may terminate immediately by written notice if the other party commits a material breach and fails to remedy it within 7 days of being asked to do so in writing.
14.1 To the maximum extent permitted by law, we are not liable for any indirect, consequential or special loss, loss of profit, loss of revenue or loss of opportunity, however caused.
14.2 Our total liability arising from the Services in any circumstances is limited to the total fees paid by the practice to us in the 3 months immediately before the event giving rise to the claim.
14.3 We are not liable for any act or omission of Meta, Google, HighLevel or any other third-party platform, or for the clinical treatment, advice or conduct of the practice.
14.4 The practice indemnifies us against claims arising from the practice's clinical services, its treatment of patients, or advertising content it approved that breaches any law or HPCSA rule.
If the Consumer Protection Act 68 of 2008 applies to you, nothing in these Terms limits any right you have under that Act, and any provision of these Terms that is inconsistent with that Act will apply only to the extent permitted by it.
16.1 These Terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of the Western Cape Division of the High Court, Cape Town.
16.2 Before starting legal proceedings, the parties will first try in good faith to resolve any dispute by negotiation within 14 days of written notice of the dispute.
16.3 Agreements may be concluded and accepted electronically, including by email, e-signature or online acceptance, in accordance with the Electronic Communications and Transactions Act 25 of 2002.
16.4 We may update these Terms from time to time. The version on this page applies to new engagements. For existing Clients, we will give 30 days' notice by email of any material change.
16.5 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
16.6 No failure or delay in enforcing any right is a waiver of that right.
16.7 Notices must be sent by email to jose@opulenceflow.com (for us) or to the email address the practice provided to us.
